These terms govern your use of the Platform and any other services made available through the Platform.
By using the Platform, you agree to be bound by these terms which form a binding contractual agreement between you, the User, and us, TINGZ PTY LTD ABN 50 623 791 542 (Tingz, we or us).
The remainder of these terms are divided into three parts:

| Account | means a User’s profile for accessing the Platform. |
| Customer | means users of the Platform who are seeking to purchase a service through the Platform. |
| Commission | means the percentage of the Quoted Amount payable to Tingz in accordance clause 17.1(l) of Part 2 and Table 1. |
| Platform | means the Tingz mobile and web application. |
| Posted Material | means any information, materials or other content on the Platform. |
| Purchase Order | means a binding agreement formed between the Service Provider and the Customer when that Customer accepts a Service Listing. |
| User | means Customers and Service Providers. |
| Service Fee | means the Quoted Amount minus the relevant Commission as payable to the Service Provider on completion of a Service Listing. |
| Service Listing | means an offer to provide services as posted by a Service Provider. |
| Service Provider | means users of the Platform who are seeking to purchase are or represent sellers of various services and list offers on the Platform. |
| Quoted Amount | means the amount listed by the Service Provider as the fee for a Service Listing. |
Tingz retains ownership of the Platform and reserves all rights in any IPR owned or licensed by it not expressly granted to you.
The Platform may contain text, images, data and other content provided by a third party and displayed on the Platform (Third Party Content). Tingz takes no responsibility for Third Party Content and makes no representation or warranty about the quality, suitability, accuracy, reliability, currency or completeness of Third Party Content.
Tingz does not accept responsibility for loss or damage to computer systems, mobile phones or other electronic devices arising in connection with your use of the Platform. You should take your own precautions to ensure that the process you employ to access the Platform does not expose you to the risk of viruses, malicious computer code or other forms of interference.
You agree to be bound by the clauses outlined in Tingz’s Privacy Policy, which can be found on our website. If there is any inconsistency between these terms and the Privacy Policy, the Privacy Policy will prevail to the extent of the inconsistency.
You are responsible for the collection and remission of all taxes associated with the services you provide or receive or any transactions through your use of the Platform, and Tingz will not be held accountable in relation to any transactions between Customers and Service Providers where tax related misconduct has occurred. Tingz will provide transaction information to Government agencies if requested to do so.
To the extent permitted by law, Tingz reserves the right to keep all records of any and all transactions and communications made through this Platform between you and other Users (including conversations, user posts, job request bids, comments, feedback, cookies, and I.P. address information) for administration purposes and also holds the right to produce these records in the event of any legal dispute involving Tingz.
This agreement is governed by the law applying in New South Wales, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales, Australia and courts of appeal from them in respect of any proceedings arising out of or in connection with this agreement. Each party irrevocably waives any objection to the venue of any legal process on the basis that the process has been brought in an inconvenient forum.
You agree that when a Customer submits a Purchase Order in response to your Service Listing, this constitutes their intention and offer to enter into a contract with you, where you will provide the Customer with the service in the Service Listing they responded to in exchange for payment of the Quoted Amount in the Service Listing. A contract is formed in this respect when you respond to a Purchase Order with an email or message on the Platform confirming that you accept the Customer’s offer.
Service Providers must hold all relevant insurance to cover all risk of loss or damage in connection with a Service Listing, including third party injury and property damage insurance.
